Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Foragentis LLC ("Company," "we," "us," or "our"), governing your access to and use of ForaPost, including any related services, features, content, and applications (collectively, the "Service").

ForaPost is a product of Foragentis LLC, a California limited liability company.

By accessing or using ForaPost, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of Service

ForaPost is an AI-powered social media management platform that enables users to:

• Connect social media accounts from various platforms
• Import content from cloud storage services (Google Drive, Dropbox) to build brand intelligence
• Connect e-commerce platforms (Shopify, WooCommerce, Etsy, Amazon) to enable product-aware content
• Generate AI-assisted content tailored to their brand voice
• Schedule and publish content to connected social media platforms
• Analyze engagement and optimize content strategy

ForaPost operates as a "Tech Provider" — we act as your authorized agent to publish content on your behalf to social media platforms. You retain full control and responsibility for all content published through your account.

2. Eligibility

To use ForaPost, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Have authority to connect and manage the social media accounts you link to the Service
• Not be prohibited from using the Service under applicable laws

If you are using ForaPost on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

3.1 Account Creation

You must create an account to use ForaPost. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use of your account.

3.3 One Account Per User

Each user may maintain only one ForaPost account. We reserve the right to terminate duplicate accounts.

4. Connected Social Media Accounts

4.1 Authorization

By connecting your social media accounts (including but not limited to Facebook, Instagram, Threads, LinkedIn, Twitter/X, YouTube, and TikTok), you:

• Authorize ForaPost to access these accounts through official platform APIs
• Grant ForaPost permission to post content on your behalf
• Confirm you have the authority to manage these accounts
• Agree to comply with each platform's terms of service

4.2 Platform Terms

When you connect accounts, you also agree to comply with:

• TikTok: Terms of Service and Community Guidelines (tiktok.com/legal)
• X (Twitter): Terms of Service and Developer Policy (x.com/tos)
• LinkedIn: User Agreement and API Terms of Use (linkedin.com/legal)
• YouTube: Terms of Service and Community Guidelines (youtube.com/t/terms)
• Meta Platforms: Terms of Service and Community Standards for Facebook, Instagram, and Threads (facebook.com/legal/terms)

You remain solely responsible for ensuring your content complies with each platform's policies.

4.3 Disconnecting Accounts

You may disconnect any social media account at any time through your ForaPost account settings. Upon disconnection:

• All future scheduled posts to that account will be canceled
• Our access tokens for that account will be deleted immediately
• Previously published content remains on the platform (managed through that platform directly)
• Associated data will be deleted within 30 days

You may also revoke ForaPost's access through each platform's security settings directly.

4.4 Token Expiration

Social media platform access tokens may expire periodically. When this occurs, you will need to reconnect your account to continue publishing. We will notify you when reconnection is required.

4A. Cloud Storage Integrations

4A.1 Google Drive Integration

By connecting your Google Drive account, you:

• Authorize ForaPost to access files you explicitly select through the Google Picker interface
• Grant ForaPost read-only permission to download selected files for content analysis
• Confirm you have the right to use the content contained in selected files
• Understand ForaPost cannot modify, delete, or create files in your Google Drive

Scope of Access: ForaPost uses the drive.file scope, which only grants access to files you explicitly select via the Google Picker. We cannot access any other files in your Drive.

Data Usage: Selected files are processed to learn your brand voice and writing style. File contents are used solely for generating personalized social media content.

Disconnecting: You may disconnect Google Drive at any time through ForaPost settings or by revoking access at myaccount.google.com/permissions. Upon disconnection, imported content analysis is retained but we can no longer access your Drive.

ForaPost's use of Google Drive data adheres to Google's API Services User Data Policy, including Limited Use requirements.

4A.2 Dropbox Integration

By connecting your Dropbox account, you:

• Authorize ForaPost to browse and read files you explicitly select
• Grant ForaPost permission to download selected files for content analysis
• Confirm you have the right to use the content contained in selected files
• Understand ForaPost cannot modify, delete, or create files in your Dropbox

Scope of Access: ForaPost requests files.metadata.read and files.content.read permissions only. We cannot write to your Dropbox.

Data Usage: Selected files are processed to learn your brand voice and writing style. File contents are used solely for generating personalized social media content.

Disconnecting: You may disconnect Dropbox at any time through ForaPost settings or at dropbox.com/account/connected_apps. Upon disconnection, imported content analysis is retained but we can no longer access your Dropbox.

4A.3 Content You Import

By importing files from cloud storage, you represent and warrant that:

• You own the content or have the right to use it
• The content does not infringe on any third-party intellectual property rights
• You authorize ForaPost to analyze and learn from the content to generate social media posts

4B. E-commerce Platform Integrations

4B.1 Supported Platforms

ForaPost integrates with the following e-commerce platforms:

• Shopify
• WooCommerce
• Etsy
• Amazon Seller Central

4B.2 Authorization

By connecting your e-commerce platform, you:

• Authorize ForaPost to access your product catalog (names, descriptions, images, prices)
• Grant ForaPost permission to read inventory status
• Confirm you have authority to manage the connected store
• Agree to comply with each platform's terms of service and API policies

4B.3 Data We Access

What We Do NOT Access:

• Customer personal information
• Order details or purchase history
• Payment or financial data
• Customer communications

4B.4 Content Generation

ForaPost uses your product data to:

• Generate social media posts featuring your products
• Avoid promoting out-of-stock items (using inventory data)
• Create seasonal and promotional content
• Rotate through your catalog strategically

You retain full control over what content is published and may review all posts before publication.

4B.5 Platform Terms Compliance

When connecting e-commerce platforms, you also agree to comply with:

• Shopify: Partner Program Agreement and API Terms
• WooCommerce: Terms of Service
• Etsy: API Terms of Use and Seller Policy
• Amazon: Marketplace Developer Agreement and Selling Policies

4B.6 Disconnecting

You may disconnect any e-commerce platform at any time through ForaPost settings. Upon disconnection:

• Product data sync will stop immediately
• Access tokens will be deleted
• Previously imported product data will be deleted within 30 days
• Generated content featuring products remains (you may delete manually)

5. Auto-Publishing and Consent

5.1 Publishing Modes

ForaPost offers two publishing modes:

Approval Required Mode (Default): All AI-generated content is saved as drafts for your review and explicit approval before publishing. This is the default setting for all new accounts.

Auto-Publishing Mode: AI-generated content is automatically published according to your schedule without individual post approval.

5.2 Auto-Publishing Consent

Auto-Publishing Mode requires your explicit consent. By enabling Auto-Publishing Mode, you:

• Expressly authorize ForaPost to publish AI-generated content to your connected social media accounts on your behalf
• Acknowledge that content will be published automatically without individual review
• Accept full responsibility for all content published through your account
• Confirm you have authority to publish content to the connected accounts
• Understand this consent applies to all connected platforms where auto-publishing is enabled

5.3 Revoking Consent

You may revoke auto-publishing consent at any time by:

• Switching to Approval Required Mode in your settings
• Disconnecting individual social media accounts
• Pausing your account
• Contacting us at forapost@foragentis.com

5.4 Content Responsibility

Regardless of publishing mode, you are solely responsible for all content published through ForaPost to your social media accounts. We strongly recommend:

• Regularly reviewing your brand voice settings
• Periodically reviewing published content
• Keeping your content preferences up to date

6. AI-Generated Content

6.1 Content Generation

ForaPost uses artificial intelligence to generate social media content based on:

• Your brand voice settings and preferences
• Content you provide (collateral, documents, website content)
• Your specified topics, tone, and style guidelines

6.2 Content Ownership

You retain ownership of all original content you provide to ForaPost. AI-generated content created by ForaPost based on your inputs becomes your property upon generation.

6.3 No Guarantee of Performance

We do not guarantee any specific results, engagement rates, follower growth, or business outcomes from using ForaPost. Social media performance depends on many factors outside our control.

6.4 Content Quality

While ForaPost employs safeguards to generate appropriate content, AI systems may occasionally produce unexpected results. We recommend regular review of your content, especially when first using the service or after changing settings.

6.5 Collateral and Content Sources

ForaPost generates content based on materials you provide, including:

• Documents uploaded directly (PDF, DOCX, PPTX, TXT, images, audio, video)
• Files imported from connected cloud storage (Google Drive, Dropbox)
• URLs you submit for content extraction
• Product data from connected e-commerce platforms
• Brand voice settings and preferences

You are responsible for ensuring you have the right to use all content you provide to ForaPost.

7. Acceptable Use

7.1 Prohibited Content

You may not use ForaPost to create, generate, or publish content that:

• Violates any platform's community guidelines or terms of service
• Constitutes spam or artificial engagement manipulation
• Infringes on intellectual property rights of third parties
• Is defamatory, obscene, harassing, threatening, or discriminatory
• Spreads misinformation, disinformation, or deceptive content
• Promotes violence, illegal activities, or harm to others
• Violates applicable laws or regulations
• Targets or exploits minors in any way

7.2 Prohibited Activities

You may not:

• Use ForaPost to artificially inflate followers, likes, or engagement
• Create multiple accounts to circumvent limits or bans
• Resell, sublicense, or provide access to ForaPost without authorization
• Reverse engineer, decompile, or extract source code from ForaPost
• Interfere with or disrupt the Service or its servers
• Circumvent API rate limits or quotas
• Use the Service in violation of any platform's developer terms
• Scrape or harvest data from social media platforms through ForaPost

7.3 Watermarks and Attribution

ForaPost will not remove, obscure, or modify any:

• Platform watermarks (e.g., TikTok watermarks)
• Creator attributions
• Copyright notices
• Content ownership indicators

Without explicit authorization from the content owner.

7.4 Enforcement

We reserve the right to:

• Suspend or terminate accounts that violate these Terms
• Remove or refuse to publish content we deem inappropriate
• Report illegal activity to appropriate authorities
• Cooperate with platform investigations

7.5 Cloud Storage and E-commerce Use

You may not:

• Import files from cloud storage that you do not have the right to use
• Connect e-commerce platforms you do not have authority to manage
• Use ForaPost to scrape or harvest data from e-commerce platforms beyond your own store
• Violate any cloud storage or e-commerce platform's terms of service through ForaPost

8. Data Use Restrictions

8.1 Our Commitments

ForaPost does not:

• Sell, rent, or distribute your social media data to third parties
• Combine your data with external databases for advertising purposes
• Build profiles for purposes other than providing the Service
• Use your data to target advertisements to you or others
• Retain data beyond the period necessary to provide the Service

8.2 Platform Data

Data obtained from connected platforms is used solely to:

• Publish content on your behalf
• Display your account information within ForaPost
• Provide analytics about your published content
• Improve the Service

We do not aggregate data across different users or create databases of social media information for sale or distribution.

9. Subscription and Payment

9.1 Plans and Pricing

ForaPost offers various subscription tiers with different features and limits. Current pricing is available at forapost.online/pricing.

9.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all applicable fees.

9.3 Automatic Renewal

Subscriptions automatically renew unless canceled before the renewal date.

9.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

9.5 Price Changes

We may modify pricing with 30 days' notice. Continued use after changes take effect constitutes acceptance.

10. Intellectual Property

10.1 Our Property

ForaPost, including its software, design, features, documentation, and all related intellectual property, is owned by Foragentis LLC. These Terms do not grant you any rights to our trademarks, logos, or brand features.

10.2 Your Content

You retain all rights to content you provide to ForaPost. By using the Service, you grant us a limited license to use, process, and display your content solely for providing the Service.

10.3 Feedback

If you provide feedback, suggestions, or ideas about ForaPost, you grant us the right to use such feedback without restriction or compensation.

11. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, available at forapost.online/privacy, which is incorporated into these Terms by reference.

12. Third-Party Services

12.1 Social Media Platforms

ForaPost integrates with third-party social media platforms. Your use of these platforms is governed by their respective terms. We are not responsible for the actions, content, or policies of third-party platforms.

12.2 Payment Processing

Payment processing is handled by Stripe. Your payment information is subject to their privacy policies and terms.

12.3 API Changes

Social media platforms may change their APIs, terms, or policies at any time, which may affect ForaPost functionality. We will make reasonable efforts to maintain integrations but cannot guarantee uninterrupted service.

13. Disclaimers

13.1 Service Provided "As Is"

ForaPost is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

13.2 No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue any aspect of the Service at any time.

13.3 Platform Dependencies

ForaPost depends on third-party platform APIs. We are not responsible for:

• Platform outages or API changes
• Account suspensions by platforms
• Changes to platform terms or policies
• Rate limiting or quota restrictions imposed by platforms

14. Limitation of Liability

To the maximum extent permitted by law, Foragentis LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless Foragentis LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of ForaPost
• Content published through your account
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any platform's terms of service
• Your violation of any applicable laws or regulations
• Copyright and intellectual property claims arising from content you upload, import, or submit to ForaPost, including any claims that such content infringes or misappropriates the copyright, trademark, or other intellectual property rights of any third party
• DMCA claims or takedown notices related to content you provided to or published through ForaPost

This indemnification obligation applies to all content you provide, regardless of whether it was directly uploaded, imported from cloud storage, scraped from URLs, or sourced from connected e-commerce platforms.

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

16.2 Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration in Sacramento County, California, in accordance with the rules of the American Arbitration Association.

16.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions.

17. Changes to Terms

We may modify these Terms at any time by posting the revised version on our website. Material changes will be communicated via email or through the Service. Your continued use after changes take effect constitutes acceptance.

18. Termination

18.1 By You

You may terminate your account at any time through account settings or by contacting us.

18.2 By Us

We may suspend or terminate your account for violation of these Terms, fraudulent activity, or any other reason at our discretion.

18.3 Effect of Termination

Upon termination:

• Your right to use ForaPost ceases immediately
• Scheduled posts will be canceled
• Platform access tokens will be deleted
• Account data will be deleted in accordance with our Privacy Policy
• Provisions that should survive termination will survive

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Foragentis LLC regarding ForaPost.

19.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full force.

19.3 Waiver

Our failure to enforce any provision does not constitute a waiver.

19.4 Assignment

You may not assign your rights without our consent. We may assign our rights without restriction.
