ForaPost Referral & Rewards Programs Terms & Conditions

Effective Date: January 28, 2026

ForaPost offers two ways to earn rewards for referring customers:

PART I: PARTNER PROGRAM (CASH COMMISSIONS)

This section (1-14) covers the Partner Program for external marketers who earn cash commissions. For automatic account credits, see User Rewards Program.

1. Partner Program Overview

The ForaPost Partner Program allows approved Partners to earn recurring cash commissions by referring new customers to ForaPost's social media management platform. When someone signs up using your unique referral link and becomes a paying customer, you earn a percentage of their subscription payments according to your partnership tier.

Key Features:

• Recurring cash commissions (not credits)
• Paid via bank transfer or PayPal
• Three partnership tiers (5%-20% commission)
• Semi-annual payments with $100 minimum
• Application and approval required

1.1 Eligibility

• You must be at least 18 years old (or legal age in your jurisdiction)
• You must have a valid email address and payment method for receiving commissions
• You must not be a current ForaPost customer using your own referral code
• You must comply with all applicable laws and regulations
• Partnership tier is assigned by Foragentis ("ForaPost," "we," or "us") at our sole discretion

2. Partnership Tiers

ForaPost offers three partnership structures based on the nature and scope of your promotional activities:

3. Commission Structure

3.1 Qualifying Payments

You earn commission on the following payments made by customers you refer:

• Monthly subscriptions: $29/month or $59/month plans
• Annual subscriptions: Commission calculated on the monthly equivalent
• Upgrades: Commission on increased subscription amount
• Renewals: Ongoing commission on each renewal (subject to tier duration)

3.2 Non-Qualifying Payments

You do NOT earn commission on:

• Free trial periods
• Refunded payments
• Chargebacks or disputed payments
• Add-on purchases or one-time fees (unless explicitly stated otherwise)
• Payments made after commission period expires (Tier 2 only)
• Your own subscription if you become a customer

3.3 Commission Calculation

Commissions are calculated as follows:

• Tier 1: Lifetime - You earn commission for as long as the referred customer maintains an active paid subscription
• Tier 2: 12 months from first transaction - Commission period begins on the date of the customer's first successful plan payment and continues for exactly 12 calendar months
• Tier 3: Lifetime - You earn commission for as long as the referred customer maintains an active paid subscription

4. Payment Terms

4.1 Payment Schedule

Commission payments are made semi-annually (twice per year):

• Period 1: January 1 - June 30 → Paid in July
• Period 2: July 1 - December 31 → Paid in January

4.2 Minimum Payout Threshold

The minimum payout amount is $100 USD. If your earned commissions do not reach $100 during a payment period, the balance rolls over to the next period until the minimum threshold is met.

4.3 Payment Methods

Payments are made via:

• Bank transfer (ACH for US, wire for international)
• PayPal
• Other methods as mutually agreed

You are responsible for providing accurate payment information. We are not responsible for failed payments due to incorrect payment details.

4.4 Payment Processing Time

Payments are processed within 30 days of the end of each semi-annual period, subject to verification and fraud prevention checks.

4.5 Modifications to Payment Terms

We reserve the right to modify the minimum payout threshold, payment schedule, or payment methods with 30 days written notice to active Partners.

5. Referral Tracking

5.1 Unique Referral Code & Link

Upon approval, you will receive:

• A unique referral code
• A unique referral link (e.g., forapost.online/r/YOUR_CODE)

Customers who sign up using your code or link are attributed to you for commission purposes.

5.2 Cookie Duration

Our referral tracking cookies last 30 days. If someone clicks your link and signs up within 30 days, you receive credit for the referral.

5.3 Attribution Rules

• First-click attribution: The first referral code used is credited
• Self-referrals not permitted: You cannot use your own code to sign up
• Disputes: In cases of disputed attribution, our decision is final

6. Partner Responsibilities

6.1 Permitted Promotional Activities

You may promote ForaPost through:

• Blog posts, articles, and content marketing
• Social media posts and stories
• Email newsletters (to subscribers who have opted in)
• Paid advertising (PPC, social ads, display ads)
• YouTube videos, podcasts, and other media
• Word-of-mouth and personal recommendations

6.2 Prohibited Activities

You may NOT:

• Spam: Send unsolicited emails or messages
• Misleading claims: Make false or exaggerated claims about ForaPost
• Brand bidding: Bid on ForaPost's trademarked terms in paid search
• Incentivized signups: Offer cash or rewards for signups (unless explicitly approved)
• Cookie stuffing: Use techniques to artificially inflate referral tracking
• Fraud: Engage in any fraudulent or deceptive practices
• Trademark misuse: Use ForaPost's trademarks without permission
• Competing claims: Claim to be ForaPost or an official representative (unless explicitly authorized)

6.3 Compliance with Laws

You must:

• Comply with all applicable laws, including FTC guidelines on endorsements and testimonials
• Clearly disclose your affiliate relationship (e.g., "I may earn a commission if you sign up")
• Comply with GDPR, CCPA, and other privacy regulations in your jurisdiction
• Not target or market to minors under 18

7. Disqualification & Termination

7.1 Grounds for Disqualification

We may suspend or terminate your participation immediately without notice if you:

• Violate any of these Terms
• Engage in fraudulent, deceptive, or illegal activities
• Generate low-quality traffic or high refund rates
• Damage ForaPost's reputation or brand
• Fail to respond to communications regarding compliance issues

7.2 Effects of Termination

• Earned commissions: You retain rights to unpaid earned commissions prior to termination (subject to minimum payout threshold)
• Pending commissions: Commissions on referrals still in trial or not yet paid are forfeited
• Access revoked: Your referral link and code will be deactivated
• No future earnings: You will not earn commission on future payments from prior referrals

8. Tax Responsibilities

8.1 Independent Contractor Status

You are an independent contractor, not an employee or agent of ForaPost. You are solely responsible for:

• Reporting all commission income to appropriate tax authorities
• Paying all applicable taxes (income, self-employment, VAT, etc.)
• Complying with tax laws in your jurisdiction

8.2 Tax Forms (US Partners)

US-based Partners earning $600 or more annually will receive a Form 1099-NEC for tax reporting purposes. You must provide a completed W-9 form upon request.

8.3 International Partners

International Partners are responsible for understanding and complying with their local tax obligations. We may require appropriate tax documentation based on your jurisdiction.

9. Program Modifications

9.1 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email with at least 30 days notice. Continued participation after changes take effect constitutes acceptance of the new Terms.

9.2 Changes to Commission Structure

We may modify commission rates, tiers, or payment terms with 60 days written notice. Changes apply only to new referrals made after the effective date; existing referrals retain their original terms.

9.3 Program Termination

We reserve the right to terminate the entire Referral Program with 30 days written notice to active Partners. In the event of termination:

• All earned commissions will be paid according to existing payment schedule
• No new referrals will be accepted after termination date
• Existing referrals may continue earning commission for their remaining duration (Tier 2) or until program wind-down (Tier 1 & 3)

10. Intellectual Property

10.1 Limited License

We grant you a limited, non-exclusive, non-transferable license to use ForaPost's name, logos, and marketing materials solely for promoting ForaPost through the Referral Program.

10.2 Restrictions

You may NOT:

• Modify ForaPost's logos or branding
• Use ForaPost's trademarks in domain names or social media handles
• Register ForaPost's trademarks or similar marks
• Create derivative works of ForaPost's content

11. Liability & Warranties

11.1 No Warranties

The Referral Program is provided "as is" without warranties of any kind. We do not guarantee:

• Any specific commission earnings
• Uninterrupted availability of the Program
• Accuracy of tracking or reporting
• That referred customers will convert or remain subscribed

11.2 Limitation of Liability

To the maximum extent permitted by law, ForaPost's liability to you is limited to the total commissions earned by you in the 12 months prior to any claim. We are not liable for:

• Lost profits or opportunity costs
• Indirect, incidental, or consequential damages
• Technical failures or tracking errors
• Actions of referred customers

11.3 Indemnification

You agree to indemnify and hold ForaPost harmless from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your promotional activities
• Your violation of any laws or regulations
• Infringement of third-party rights in your promotional content

12. General Provisions

12.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation (if negotiation fails)
3. Binding arbitration in California (if mediation fails)

12.3 Entire Agreement

These Terms, together with any separate partnership agreements (for Tier 3 Partners), constitute the entire agreement between you and ForaPost regarding the Referral Program.

12.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.

12.5 No Agency

Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between you and ForaPost.

12.6 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms at any time.

PART II: USER REWARDS PROGRAM (AUTOMATIC ACCOUNT CREDITS)

This section covers the automatic User Rewards Program available to all ForaPost users. For cash commission partnerships, see Partner Program above.

15. User Rewards Program

15.1 Overview

The User Rewards Program is an automatic credit system available to all ForaPost users. When people sign up through your post attributions, you earn account credits that reduce your subscription costs.

15.2 How User Rewards Work

Automatic Attribution:

When you create and publish posts on ForaPost you can automatically include attribution text: "made with forapost.online/r/you" on every post (except TikTok). Free Plan users are automatically enrolled, while paid plan users can choose to opt in. When someone:

1. Clicks this attribution link in your post
2. Signs up for ForaPost
3. Subscribes to a paid plan

You automatically earn credits. No action required on your part.

No Application Needed:

Free plan users are automatically enrolled in User Rewards. Paid plan users can opt in via settings. You don't need to apply or be approved. Just use ForaPost normally, and credits accumulate automatically.

15.3 Reward Amounts (Tiered by Plan)

Credits earned depend on your plan status (Free or Paid) and which plan the referred user subscribes to:

15.4 Credit Qualification

Credits are awarded when all of the following occur:

• Someone clicks your post attribution link (forapost.online/r/[you])
• They sign up for a new ForaPost account
• They subscribe to a paid plan (Pro, Panorama, or Scale)
• Their first payment successfully processes
• They remain active for at least 30 days

Non-Qualifying Scenarios:

• Self-referrals (using your own attribution link)
• Users who only sign up for free plans
• Users who refund or chargeback within 30 days
• Fraudulent or abuse-related signups
• Users you referred as a Partner (no double-dipping)

15.5 Credit Application & Usage

Automatic Application:

Credits automatically apply to your next invoice. There's no minimum threshold, no waiting period, and no action required. When your next billing date arrives, any accumulated credits reduce your amount due.

Credit Rules:

• Apply to subscription only: Credits offset your ForaPost subscription (monthly or annual)
• No cash conversion: Credits cannot be converted to cash or transferred
• No expiration (while active): Credits don't expire as long as you maintain an active subscription
• Auto-apply: Credits automatically apply at billing - you don't need to manually redeem them
• Forfeit on cancellation: Unused credits are forfeited if you cancel your subscription

Excess Credits:

If your credits exceed your invoice amount, the excess carries forward to future invoices. Credits continue accumulating and applying until used.

15.6 User Rewards vs Partner Program: Choosing One

Choose User Rewards if you:

• Are an active ForaPost user sharing posts naturally
• Want passive, automatic rewards with no effort
• Prefer reducing your own subscription costs
• Don't want to deal with tax forms or payment setup
• Want instant credit application (no minimum threshold)

Choose Partner Program if you:

• Are an external marketer or influencer
• Will actively promote ForaPost through campaigns/content
• Want recurring cash income (not just credits)
• Can reach the $100 minimum payout threshold
• Are willing to apply, be approved, and handle tax reporting

Switching Programs:

If you're currently earning User Rewards and want to apply for the Partner Program, contact forapost@foragentis.com. If approved, your existing User Rewards credits will be preserved, but future referrals will earn cash commissions instead.

15.8 Attribution Settings

Free Plan: Attribution is enabled by default on all posts for Free plan users and cannot be removed. This automatically enrolls you in User Rewards.

Paid Plans (Pro, Panorama, Scale): Attribution is disabled by default for a cleaner brand experience. To participate in User Rewards:

• Go to your settings and opt in to the User Rewards program
• This will add "made with forapost.online/r/you" attribution to your posts
• You can opt out at any time to remove attribution

15.9 Program Guidelines

To maintain the integrity of User Rewards, please avoid:

• Spam: Posting your attribution link in inappropriate places or spamming communities
• Misrepresentation: Making false claims about ForaPost to drive signups

Credits are only earned when referred users make qualifying payments that are not refunded, so the system is naturally resistant to abuse.

15.10 Changes to User Rewards

We reserve the right to modify the User Rewards Program with 30 days notice, including:

• Reward amounts and tier structure
• Qualification requirements
• Credit application rules
• Attribution methodology

Changes will be communicated via email to active users.

Grandfathering: Credits already earned will not be affected by program changes. New rules apply only to future referrals.

15.11 Program Discontinuation

In the unlikely event we discontinue User Rewards entirely, we will:

• Provide 30 days advance notice
• Honor all credits earned up to discontinuation date
• Allow reasonable time to use accumulated credits
• Not retroactively remove or reduce earned credits

14. Acknowledgment

By participating in ForaPost's User Rewards Program or Partner Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

User Rewards participants acknowledge:

• Credits are automatic and apply to your subscription only
• Credits cannot be converted to cash
• Attribution links are tracked via cookies (30 days)
• We reserve the right to modify reward amounts with notice

Partner Program participants acknowledge:

• You are an independent contractor, not an employee
• You are responsible for taxes on commission income
• Cash commissions require $100 minimum threshold to be eligible for payout
• You must comply with FTC guidelines and disclose affiliate relationships
